Terms of Service
1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Sulus.ai, a company registered in the State of Tennessee, United States, with its address at 4935 Main Street Suite 7-351, Spring Hill, TN 37174, United States ("Sulus.ai," "we," "us," "our"), governing your access to and use of the Future Assistant application, the website at https://futureassistant.ai, and related services (together, the "Service").
By creating an account, connecting a Google account, or otherwise using the Service, you agree to these Terms and to the Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that organization.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use and is not offered to consumers for personal, family, or household purposes.
3. The Service
Future Assistant is an AI-assisted business operations tool, built on the Sulus.ai CRM platform, that connects to the Google accounts you authorize and helps you manage business workflows across Gmail, Google Calendar, Google Business Profile, Google Ads, Google Analytics, and Google Search Console.
We may modify, add, or discontinue features at any time. We will give at least 30 days' notice before discontinuing a material feature or making a change that materially reduces core functionality.
4. Accounts and security
You are responsible for the accuracy of your registration information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly at support@sulus.ai if you learn of unauthorized use. You must not share credentials or allow anyone we have suspended to use your account.
5. Connecting your Google account
5.1 Your authorization
To use most features you must authorize the Service to access your Google data through Google's OAuth consent screen. The Service offers separate connection flows for (a) Gmail and Calendar, (b) Calendar only, and (c) Google Business Profile, Ads, Analytics, and Search Console. You choose which to grant.
You represent and warrant that you are the account holder or have all necessary authority from the account holder and your organization to grant the access you grant, including where the Google account is administered through Google Workspace.
5.2 What we do with Google data
Our access to and use of Google API data is described in our Privacy Policy and adheres to the Google API Services User Data Policy, including Limited Use. We do not sell Google user data and do not use Gmail, Calendar, or Business Profile data for advertising.
5.3 Revoking access
You may revoke access at any time at myaccount.google.com/permissions, or by disconnecting inside the Service. Revocation disables dependent features and stops further syncing, but does not by itself delete data already synced — see Section 9 of the Privacy Policy to have that data deleted.
5.4 Your customers' data and the advertising features
Where you use the Service to upload customer data to your Google Ads or Analytics accounts, you are the party that determines that purpose. You are responsible for having a lawful basis and any consent required from the individuals whose data is uploaded, and for complying with Google's policies governing that upload. We provide the mechanism at your direction; we do not obtain that consent for you.
5.5 Google's own terms
Google is a third party, not our subcontractor. Your use of Google services is governed by your agreements with Google. We are not responsible for Google's availability or for any suspension of your Google account or of our API access. If Google restricts our API access, some features may become unavailable and Section 15 applies.
6. Acceptable use
You must not, and must not permit anyone else to:
- Use the Service to send unsolicited bulk or commercial messages, or otherwise violate any anti-spam or electronic communications law.
- Send or publish content that is unlawful, defamatory, harassing, deceptive, or infringing.
- Post fake or misleading reviews or review responses, or otherwise manipulate Google Business Profile content in violation of Google's policies.
- Use Gmail, Calendar, or Business Profile data to build advertising audiences, target advertising, or measure ad performance.
- Upload customer data to an advertising platform without the lawful basis and consents required by Section 5.4.
- Access, or attempt to access, another person's Google account or data without authorization.
- Reverse engineer, scrape, or use automated means to extract data from the Service other than through interfaces we provide.
- Circumvent rate limits or security controls, or interfere with the operation of the Service.
- Resell, sublicense, white-label, or provide the Service to a third party as a service bureau, except with our prior written consent. If you're interested in using Future Assistant on behalf of your own clients, contact us at support@sulus.ai to discuss terms.
- Use the Service in violation of any applicable law.
We may suspend access immediately, without notice, if we reasonably believe your use presents a security risk, violates law, jeopardizes our Google API access, or is likely to cause harm to us or another user.
7. Your content and your data
As between you and us, you retain all rights in the data and content you provide to the Service or that the Service accesses from your Google account ("Your Data"). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, index, and display Your Data solely to operate the Service for you. This license ends when Your Data is deleted. We do not use Your Data to train generalized AI models.
8. AI-generated output
The Service uses AI models to produce summaries, drafts, and recommendations ("Output"). Output can be inaccurate or incomplete, including output that appears confident and is not correct — you are solely responsible for reviewing Output before sending an email, publishing a review response, booking or cancelling a meeting, uploading conversion data, or applying any change to a Google Ads account. Do not rely on Output for legal, tax, financial, or medical advice.
The Service does not take actions on your Google accounts without your confirmation, except where you have explicitly enabled an automated setting for a specific action — in which case you accept responsibility for actions taken under that setting.
9. Our intellectual property
The Service, including its software, documentation, and the Future Assistant and Sulus.ai names and logos, is owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service, subject to these Terms. All rights not expressly granted are reserved.
10. Feedback
If you send us suggestions about the Service, you grant us a perpetual, royalty-free license to use it without obligation to you.
11. Third-party services
The Service integrates with Google and may integrate with other third-party services provided under their own terms. Your use of a third-party service is at your own risk.
12. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. Each party's total liability arising out of these Terms will not exceed the greater of amounts you paid us in the twelve (12) months preceding the claim, or US$100. These limits do not apply to fraud, gross negligence, willful misconduct, your breach of Section 6, your payment obligations, or either party's indemnification obligations. Some jurisdictions do not allow these limitations, so some of the above may not apply to you.
14. Indemnification
You will defend, indemnify, and hold us harmless from third-party claims arising from Your Data, your use of the Service in violation of these Terms or applicable law, your violation of Google's terms, content you publish through the Service, or your upload of customer data to an advertising platform without proper consent.
15. Term, suspension, and termination
These Terms apply from your first use until terminated. You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately for a material breach, for the reasons in Section 6, or to comply with law, or for convenience on 30 days' written notice. Upon termination, we will make Your Data available for export for 30 days, after which we will delete it in accordance with the Privacy Policy. Sections 5.4, 7, 9, 10, 12, 13, 14, 16, and 17 survive termination.
16. Governing law and dispute resolution
(a) Governing law. These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
(b) Informal resolution first. Before either party may commence arbitration, that party must first send written notice of the dispute to support@sulus.ai (or to our postal address). The parties will attempt in good faith to resolve the dispute informally for thirty (30) days from that notice before arbitration may begin.
(c) Binding arbitration. Disputes not resolved informally will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (and, where applicable, its Consumer Arbitration Rules), seated in Williamson County, Tennessee, before a single arbitrator.
(d) Carve-outs. Either party may bring an individual claim in small-claims court where it qualifies, or seek injunctive relief in court to protect its intellectual property, confidential information, or data-security interests.
17. General
These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. A failure to enforce a provision is not a waiver. Neither party is liable for delay due to causes beyond its reasonable control. You may not assign these Terms without our written consent; we may assign them in connection with a merger or sale of assets. The parties are independent contractors.
